1. Operator and Scope

These Terms and Conditions (“Terms”) govern access to and use of myfoodiva.com (the “Site”).

In these Terms, “Foodiva,” “we,” “us” and “our” refer to FOODIVA GIDA SANAYI TICARET LIMITED SIRKETI.

By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a company or another organization, you confirm that you are authorized to act on its behalf.

If you do not agree to these Terms, please do not use the Site.

2. What the Site Provides

The Site provides general B2B information about Foodiva’s extruded-snack products, manufacturing capabilities and OEM, contract-manufacturing, private-label, white-label and product-development services.

The Site also provides:

  • Contact and project-inquiry forms.
  • Access to Foodiva’s product catalog.
  • Educational articles and manufacturing information.
  • Information about Foodiva’s products, services and capabilities.

The Site does not provide:

  • Online purchasing or payment processing.
  • User accounts or profiles.
  • Public posts, message boards or user contributions.
  • Social-account login.
  • A Foodiva mobile application.

3. Business Inquiries Do Not Create a Contract

A website-form submission, email, telephone call, catalog download, meeting or preliminary discussion does not create:

  • A purchase order.
  • A manufacturing or supply commitment.
  • An exclusivity arrangement.
  • A partnership or agency relationship.
  • A confidentiality agreement.
  • Any other binding commercial contract.

Foodiva may accept or decline an inquiry and may request additional technical, commercial, regulatory, packaging or volume information before determining feasibility.

Quotations, samples, development work, specifications, production, packaging, delivery, intellectual-property arrangements and other commercial matters are governed only by the applicable written quotation, specification, confidentiality agreement, manufacturing agreement, supply agreement, accepted purchase order or other document expressly approved by authorized representatives of the relevant parties.

4. Product and Service Information

Content on the Site is provided for general information and business-evaluation purposes.

Site content may not reflect every:

  • Technical limitation.
  • Formulation option.
  • Ingredient or allergen condition.
  • Destination-market requirement.
  • Packaging constraint.
  • Current production circumstance.

Images may be illustrative.

Product specifications, ingredients, nutrition values, claims, certifications, minimum order quantities, prices, production capacity, lead times and availability are binding only when confirmed in an applicable written commercial document.

Nothing on the Site constitutes legal, regulatory, nutritional, medical or other professional advice.

Customers remain responsible for their brand, label, claims, import, distribution and destination-market compliance unless a written agreement expressly assigns a particular responsibility to Foodiva.

5. Project Information and Confidentiality

Information submitted through the Site will be used to evaluate and respond to the inquiry in accordance with Foodiva’s Privacy Policy and KVKK Information Notice.

Foodiva does not publish customer project briefs through the Site.

Foodiva handles business inquiries with reasonable care. However, an ordinary website form or email is not a substitute for a signed confidentiality agreement.

Do not submit confidential formulas, trade secrets, unprotected inventions or other sensitive technical information before an appropriate confidentiality agreement is in place.

Sending an idea, concept or project brief does not by itself:

  • Create a confidentiality agreement.
  • Transfer ownership of intellectual property.
  • Give Foodiva ownership of the submitted information.
  • Grant Foodiva a license to use the information for unrelated purposes.

You confirm that you are authorized to provide the information you submit and that doing so does not infringe another person’s rights or breach an obligation owed to another party.

6. Intellectual Property

Unless otherwise stated, the Site and its text, graphics, photographs, videos, designs, downloads, trademarks, logos and other content are owned by or licensed to Foodiva and are protected by applicable intellectual-property laws.

No ownership right is transferred to a visitor.

You may view the Site and download or print the Foodiva product catalog for legitimate internal business evaluation.

Without prior written permission, you may not:

  • Reproduce or republish substantial Site content.
  • Modify or commercially exploit Site content.
  • Sell, license or distribute Site content.
  • Remove copyright, trademark or other ownership notices.
  • Use Foodiva’s name, trademarks or logos in a manner that suggests an unauthorized relationship or endorsement.

These restrictions do not apply where applicable law expressly permits use without authorization.

If you believe that content on the Site infringes your intellectual-property rights, send a notice to info@myfoodiva.com identifying:

  • The protected work or right.
  • The disputed material.
  • The material’s location on the Site.
  • Your contact information.
  • The basis of your claim.

The matter will be reviewed under applicable law.

7. Acceptable Use

You must not:

Foodiva may restrict access where reasonably necessary to protect the Site, its users, its systems or its legal rights.

The Site may contain links to websites, platforms or services operated by third parties.

Foodiva does not control those third parties and does not guarantee or endorse all third-party content, products, security practices or privacy practices.

Your use of a third-party service is governed by that provider’s own terms and policies.

9. Privacy and Cookies

Foodiva processes personal data as described in its Privacy Policy and KVKK Information Notice.

Where the Site uses cookies or similar technologies, additional information and available choices are provided through the applicable Cookie Notice and Cookie Settings interface.

10. Site Availability and Changes

Foodiva may correct, update, suspend, restrict or withdraw Site content or functionality.

We do not guarantee that the Site will always be available, uninterrupted, completely secure or free from errors.

Foodiva may restrict access where reasonably necessary for:

  • Security.
  • Maintenance.
  • Legal compliance.
  • Misuse prevention.
  • Protection of Foodiva’s systems, content or rights.

Foodiva is not obligated to keep every page, product description, article or downloadable document available indefinitely.

11. Disclaimer and Limitation of Liability

The Site is provided without charge for general information and business-inquiry purposes.

To the extent permitted by applicable law, Foodiva does not provide warranties that are not expressly stated in these Terms or an applicable written commercial agreement.

Foodiva is not responsible for indirect or consequential loss arising solely from:

  • Reliance on general Site content.
  • Temporary Site unavailability.
  • Third-party websites or services.

Visitors and prospective customers should obtain written technical and commercial confirmation before relying on Site content for a product, investment, regulatory or manufacturing decision.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from intentional misconduct, gross negligence or another mandatory legal responsibility.

12. Changes to These Terms

Foodiva may update these Terms when the Site, its functions, business practices or applicable legal requirements change.

The current version and revision date will be posted on this page. Changes apply prospectively from the stated effective date unless applicable law requires otherwise.

13. Governing Law and Jurisdiction

These Terms and the use of the Site are governed by the laws of the Republic of Türkiye, without limiting any mandatory rights that apply under applicable law.

Subject to mandatory jurisdiction rules, the competent courts and enforcement offices of İzmir, Türkiye will have jurisdiction over disputes arising from these Terms or use of the Site.

These Terms govern only access to and use of the Site.

A separate product-development, confidentiality, manufacturing, supply, private-label, distribution or other commercial agreement may contain different governing-law or dispute-resolution provisions. That separate agreement governs the matters within its scope.

14. Severability and No Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in enforcing a provision does not waive that provision or any other right.
